In the event that a company has a winding up petition issued against it
and that petition is subsequently advertised in the London Gazette, it is
likely that issuing the petition will then come to the notice of the
company's bank, in that banks have processes in place to monitor all such
legal adverts. In those circumstances it is extremely likely that the bank
account will be frozen in that the bank will be worried that any monies released
from that point may be reclaimed by a subsequent liquidator. In these
circumstances it will only be possible for the company director to free up and
utilize the funds held in the company's bank account by means of applying for
what is known as a validation order. This requires the company director to make an
application to the court demonstrating that the company can deal with its debts
is viable going forward for at least the next 12 months and that if the court
were prepared to make an order allowing the company to use its funds it would be
able to pay off the petitioning creditors debt and indeed the debt of
any other creditor that supports the petition on seeing the advert in the
London Gazette.
